Terms of service

01These terms
These terms govern use of the Finlecy platform and this website. They apply between Finlecy, of C/ Hijuela de Lojo 75, 20491 Belauntza, Guipúzcoa, Spain, and the organisation that subscribes to the service.
Where a signed order form or master services agreement exists between us, that document takes precedence over these terms wherever the two conflict. Nothing here overrides a negotiated agreement.
These terms are written to be read. Where a plain-English sentence would be ambiguous in a dispute, the intention is the ordinary meaning of the words, not the narrowest available reading.
02The service
Finlecy is software that ingests financial data, matches records across sources, classifies what does not match, and retains a record of the run. The specific modules and volume available to you are set out in your order form.
Finlecy is a software provider. It is not a bank, a payment institution, an electronic money institution, an accountancy practice or a provider of financial, investment, tax or legal advice. Output from the platform is information for your team to act on, and every posting requires approval by a person in your organisation.
You remain responsible for your own regulatory obligations, your books and records, and any decision taken on the basis of information the platform produces.
03Subscriptions, billing and renewal
- Subscriptions run for the term stated on your order form, normally twelve months, and are billed annually or monthly in advance.
- Volume is metered in matched lines per month, as defined on the pricing page. Sustained overage is billed at the rate for an additional block on your plan.
- Invoices are payable within thirty days. We will contact you before taking any action on a late invoice; we do not suspend a reconciliation service without warning, because doing so could put your controls at risk.
- Renewal is at the same price unless your volume tier has changed. There is no automatic uplift. We give at least sixty days' notice of any price change at renewal.
- Either party may decline to renew by giving thirty days' notice before the end of the term.
04Your data
Everything you upload or generate through the platform remains yours. We claim no ownership, no licence beyond what is needed to run the service for you, and no right to use it for any other purpose.
We do not use customer data to train machine-learning models. We do not sell it, share it or derive aggregate products from it.
You can export your data at any time in structured formats, at no charge and without throttling. On termination we delete it verifiably within thirty days unless you ask us to hold it longer, and we issue a deletion certificate.
Where we process personal data on your behalf, our data processing agreement applies and forms part of these terms.
05Acceptable use
- Do not use the platform to store data you have no lawful right to process.
- Do not attempt to access another customer's data, or probe, scan or test the platform's security without our written agreement. Responsible disclosure under our published policy is always welcome.
- Do not resell, sublicense or provide the platform as a service to third parties unless your order form says you may.
- Do not use the service in a way that degrades it for other customers, including through unreasonable automated load.
- Credentials are per person. Unlimited users are included on every plan precisely so that nobody has a reason to share a login.
06Availability and support
Availability commitments and support response times are stated on the pricing page and in your order form. Where we commit to an availability target and miss it in a calendar month, service credits apply as set out in that agreement.
Planned maintenance is notified at least five working days in advance and scheduled outside European business hours wherever possible. Emergency maintenance to address a security issue may occur without notice, and we will tell you what happened afterwards.
07Confidentiality
Each party will keep the other's confidential information confidential, use it only to perform the agreement, and protect it with at least the care it applies to its own. This survives termination by five years, and indefinitely for anything that is a trade secret.
Neither party will name the other publicly as a customer or supplier without written permission.
08Warranties and liability
We warrant that the service will perform materially as described in our documentation, and that we will provide it with reasonable skill and care. Where it does not, we will fix it; if we cannot fix it within a reasonable period, you may terminate and receive a refund of fees for the unused term.
Neither party excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be excluded.
Subject to the above, neither party is liable for indirect or consequential loss, and each party's total liability in any twelve-month period is limited to the fees paid or payable in that period. Where your exposure would reasonably exceed that, tell us during contracting and we will discuss a different limit rather than leaving it unaddressed.
09Termination
- Either party may terminate for material breach that is not remedied within thirty days of written notice.
- Either party may terminate immediately if the other becomes insolvent or enters an equivalent process.
- On termination your right to use the platform ends, and our obligations to protect and return your data continue until deletion is complete.
- We will always allow a reasonable export window before deletion, including where you terminated for breach.
10Changes to these terms
We may update these terms for new features or legal requirements. Material changes take effect at your next renewal, not immediately, and we will tell you directly. If you do not accept a material change, you may decline to renew.
11Governing law
These terms are governed by Spanish law, and the courts of Spain have exclusive jurisdiction, unless a signed agreement between us states otherwise.
